Terms & Conditions

These terms and conditions (“Terms”) apply to all work carried out by oodle, a trading name of Systematic Print Management Ltd, a company registered in England and Wales under company number 03890167. Our registered office is at Centurion Way, Caistor, Market Rasen, Lincolnshire, LN7 6QA. Our VAT number is GB129 7181 53.

By engaging our services, you agree to be bound by these Terms.

1. Interpretation

In these Terms:

  • “Company” refers to Systematic Print Management Ltd, trading as oodle.

  • “Client” refers to the individual or organisation engaging the Company.

  • “Deliverables” refers to the outputs specified in a written proposal or quotation.

2. Basis of Contract

  • All quotations issued by the Company are valid for 30 days unless otherwise stated.

  • A contract is formed upon the Client’s acceptance of a quotation or written approval to proceed.

3. Prices and Payment

  • Prices quoted are exclusive of VAT.

  • Invoices must be paid within 30 days of the invoice date unless otherwise agreed.

  • The Company reserves the right to charge interest on overdue payments at 8% above the Bank of England base rate.

4. Intellectual Property and Usage Rights

  • The Company retains ownership of all intellectual property rights in original artwork, concepts, and designs until full payment has been received.

  • Upon full payment, the Client will be granted a non-exclusive, non-transferable licence to use the final deliverables for the agreed purpose only.

  • Working files (e.g., InDesign, Illustrator files) remain the property of the Company unless agreed otherwise in writing.

5. Client Responsibilities

  • The Client warrants that all content provided for inclusion in the Deliverables is their own or they have permission to use it.

  • The Client must supply all content, logos, and branding guidelines as required in a timely manner.

6. Project Timelines and Approvals

  • The Company will use reasonable endeavours to meet agreed deadlines, but time shall not be of the essence.

  • Delays caused by the Client, including late provision of content or approvals, may affect timelines.

  • Approval of proofs must be made in writing. The Company is not liable for errors in approved materials.

7. Limitation of Liability

  • The Company’s liability in respect of any claim is limited to the amount paid by the Client for the Deliverables.

  • The Company is not liable for indirect, incidental or consequential loss.

8. Force Majeure

  • The Company shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control.

9. Cancellation and Termination

  • The Client may cancel an order at any time by providing written notice.

  • In such cases, the Client shall pay for all work completed and expenses incurred up to the date of cancellation.

  • The Company may terminate the agreement if the Client fails to pay invoices on time or breaches these Terms.

10. Confidentiality

  • Both parties shall treat all information disclosed in the course of the project as confidential and not disclose it to any third party without consent.

11. Governing Law

  • These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
